Wondergarten® Commercial Curriculum License Agreement
Terms & conditions for commercial license use
Effective Date: July 15, 2025
This Commercial Curriculum License Agreement ("Agreement") governs the use of Wondergarten's copyrighted curriculum materials by registered schools and businesses ("Licensee") for commercial purposes. By purchasing a commercial license, the Licensee agrees to be bound by the terms outlined below.
1. License Scope and Eligibility
1.1 Grant of License
Wondergarten LLC ("Wondergarten") grants the Licensee a limited, non-exclusive, non-transferable, revocable license to use Wondergarten’s early childhood curriculum ("Curriculum") for commercial purposes during the license term, subject to the restrictions herein.
1.2 Eligibility
Licenses are granted exclusively to entities with valid Employer Identification Numbers (EINs) intending to use the Curriculum in a revenue-generating business or institutional setting.
1.3 License Tier Structure
Each license tier is based on the number of students and is valid for one calendar year:
Our licensing is based on the number of students and is valid for one calendar year. Each plan is priced at $150 per student:
- Class Plan: For 1–6 students / $150 per student / Total Annual Cost: $900
- Cottage Plan: For 6–12 students / $150 per student / Total Annual Cost: $1,800
- School Plan: For 13–25 students / $150 per student / Total Annual Cost: $3,750
- Campus Plan: For 26–50 students / $150 per student / Total Annual Cost: $7,500
- District Plan: For 51–100 students / $150 per student / Total Annual Cost: $15,000
- Enterprise Plan: For 101–200 students / $150 per student / Total Annual Cost: $30,000
Licensees may pay annually (with a 10% discount) or monthly (12 installments).
2. Use Restrictions
2.1 Permitted Uses
Licensees may use the Curriculum in the course of serving children enrolled in their programs. This includes printed and digital lesson content, songs, stories, and activities included in the licensed edition.
2.2 Prohibited Uses
The Licensee may not:
- Use the Curriculum beyond the student cap of their licensed tier.
- Reproduce, distribute, or resell any part of the Curriculum outside the terms of this license.
- Represent themselves as an official “Wondergarten school” or imply a franchise or endorsement beyond stating they "use the Wondergarten Curriculum."
- Use the Wondergarten name or logo in advertising without written permission.
- Modify or create derivative works based on the Curriculum for public distribution.
3. Term, Renewal, and Termination
3.1 License Term
Each license is valid for one (1) calendar year from the date of issue.
3.2 Renewal
Licenses must be renewed annually. Failure to renew will terminate all rights to use the Curriculum for commercial purposes.
3.3 Termination for Cause
Wondergarten may terminate this license immediately if the Licensee violates any of the terms herein, misrepresents their business, or exceeds their licensed student capacity.
4. Certification and Verification
4.1 Certificate Issuance
Upon purchase, Licensees will receive a personalized certificate (digital and physical) containing:
- Business/School Name
- EIN
- Unique License ID
- Number of Students Licensed
- License Start and Expiration Dates
4.2 Verification and Audit Rights
Wondergarten reserves the right to verify compliance, including requesting enrollment data. Refusal to comply may result in termination of license.
5. Support and Access
5.1 Licensee Community
Licensed users will receive access to a private online support space, currently hosted on Mighty Networks (to be transitioned to the Wondergarten App).
5.2 Customer Support
Support for licensed users is provided via email and community engagement within the licensee group.
6. Ownership and Intellectual Property
All rights, title, and interest in the Curriculum remain the sole property of Wondergarten LLC. This license does not transfer any ownership of intellectual property to the Licensee.
Licensees acknowledge that they are purchasing access to copyrighted educational materials and may not copy, sublicense, or exploit the Curriculum in any manner not explicitly permitted by this Agreement.
7. Payment and Billing
7.1 Payment Terms
Licensees may select between full annual payment (10% discount) or monthly installments for 12 months. Pricing is based on the selected student tier.
7.2 Refunds and Cancellations
Licenses are non-refundable once issued. Licensees may cancel at any time but will remain responsible for the full license amount unless otherwise agreed in writing.
8. Publicity and Directory Listing
With your permission, Wondergarten may list your business name and location in our public online directory of licensed programs.
9. Limitation of Liability
To the fullest extent permitted by law, Wondergarten shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Curriculum or services provided under this license.
10. Indemnification
Licensee agrees to indemnify and hold harmless Wondergarten LLC from any claims, damages, or liabilities arising out of Licensee’s breach of this Agreement or misuse of the Curriculum.
11. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. Any legal action arising from this Agreement shall be filed in Pierce County, WA.
12. Amendments
Wondergarten reserves the right to update or amend this Agreement at any time. Continued use of the Curriculum after such changes shall constitute acceptance.
By purchasing a commercial license, you acknowledge that you have read, understood, and agreed to the terms above.
